Our Merchant Program, Websites, and related products, services and content (and any derivative works or enhancements of the same) including, but not limited to, all text, illustrations, files, images, computer programs, software, scripts, graphics, photos, sounds, music, videos, information, content, materials, products, services, URLs, technology, documentation and interactive features (collectively, "Shopzilla Content") and all intellectual property rights to the same are owned by us, our licensors, or both. Additionally, all trademarks, service marks, trade names and trade dress that may appear in connection with the Merchant Program or Shopzilla Network (including the service marks "Shopzilla" and "BizRate.com") are owned by us, our licensors, or both ("Company Marks"). Except for the limited use rights granted in these Terms of Use, you shall not acquire any right, title or interest in any of the foregoing. We reserve any rights in and to the Shopzilla Content or Company Marks not expressly granted in this Agreement.

We acknowledge your exclusive right, title, and interest in and to your trademarks, service marks, trade names and content on your Website(s) ("Merchant Marks"). You reserve any rights in and to Merchant Marks not expressly granted in this Agreement.

Subject to the terms and conditions herein and for the term of this Agreement: (i) you grant Shopzilla a nonexclusive, nontransferable, revocable and royalty-free right and license to use the Merchant Marks solely in connection with the Merchant Program and for associated publicity and related purposes; and (ii) we grant you a nonexclusive, nontransferable, revocable and royalty-free right and license to use the Company Marks solely in connection with the Merchant Program and subject to guidelines Shopzilla may offer from time-to-time. Each party acknowledges and agrees that its use of the other's marks will not create in such party any right, title or interest in such marks and that all such use of the marks of the other party and the goodwill generated thereby will inure to the benefit of the other party.
